By accessing this website and any materials presented herein (the "Site"), you agree to the following terms and conditions regarding its use. Astra Labs and its subsidiaries and affiliates (collectively, the “Foundation”) reserve the right to change these terms, conditions, and notices without prior notice. Each use of the Site signifies your agreement to the then-current terms, which incorporate the Data Protection and Privacy Policy.
Limited License
These Terms of Use and the Site do not grant you or any third party ownership, title, or rights to use or reproduce any images, text, software, trademarks, logos, or service marks found on the Site, including the names or logos of the Foundation. All rights are reserved by the Foundation and will be enforced to the fullest extent of the law.
You are granted a limited, nonexclusive license to display and use portions of the Site solely for personal, non-commercial informational purposes. Printing pages is permitted only in connection with such use. However, modifying, distributing, reproducing, publishing, creating derivative works, or selling any content from the Site, including text, graphics, or code, is strictly prohibited.
No Warranty
The Foundation, along with its officers, managers, directors, principals, agents, and employees, makes no representations or warranties regarding the accuracy, reliability, or completeness of the information on the Site. All materials are provided "as is" and are subject to change without notice. The Foundation expressly disclaims all implied warranties, including but not limited to merchantability, fitness for a particular purpose, non-infringement, and availability.
Compliance with Sanctions Laws
Restricted Persons The Site and its services are not available to "Restricted Persons." For the purposes of these Terms, "Restricted Persons" include:
(a) Persons or entities who reside in, are located in, are incorporated in, or have a registered office in jurisdictions subject to applicable economic and trade sanctions, export control laws, or other restrictions imposed by the United States, Canada, the European Union, the United Nations, or any other relevant governmental authority (collectively, “Restricted Territories”);
(b) Persons or entities identified on any sanctions lists maintained by the Office of Foreign Assets Control (OFAC) of the U.S. Department of the Treasury, the Canadian Office of the Superintendent of Financial Institutions (OSFI), the European External Action Service (EEAS), or any other applicable sanctions authority;
(c) Citizens or nationals of Restricted Territories, regardless of their current location; and
(d) Any individual or entity acting on behalf of or for the benefit of a Restricted Person.
Prohibition on Access or Use Restricted Persons are strictly prohibited from accessing or using the Site or any of its features, functionalities, or services. If you are a Restricted Person, you must immediately cease all use of the Site and refrain from any further interaction with it.
Ongoing Compliance Obligations By accessing or using the Site, you represent and warrant that:
You are not a Restricted Person;
You are not located in, organized under the laws of, or a resident of a Restricted Territory;
You will not use the Site to engage in any transaction or activity that violates applicable sanctions laws, export control regulations, or anti-money laundering (AML) laws; and
You will comply with all applicable laws, rules, and regulations, including but not limited to those related to economic sanctions, export controls, and AML.
Monitoring and Enforcement The Foundation reserves the right to monitor, investigate, and take appropriate action (including but not limited to suspending or terminating access to the Site) if it suspects or determines, in its sole discretion, that a user is a Restricted Person or is otherwise engaging in activities that violate these Terms or applicable laws.
No Circumvention You agree not to circumvent, attempt to circumvent, or assist others in circumventing any restrictions or prohibitions set forth in these Terms or applicable laws. This includes, but is not limited to, using proxies, virtual private networks (VPNs), or other methods to conceal your identity, location, or affiliation with a Restricted Person or Restricted Territory.
Updates to Sanctions Compliance The Foundation may update or modify the list of Restricted Persons, Restricted Territories, or other compliance requirements at any time without prior notice. It is your responsibility to regularly review these Terms and ensure ongoing compliance with all applicable restrictions.
Indemnification You agree to indemnify, defend, and hold harmless the Foundation and its officers, managers, directors, principals, agents, and employees from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or related to your breach of these Terms, including but not limited to any violation of sanctions laws or other applicable legal requirements.
Limitation of Liability
The Foundation and its representatives shall not be liable for any claims, losses, or damages, including direct, indirect, incidental, punitive, special, or consequential damages, arising from:
The use or inability to use the Site.
Any information obtained through the Site.
Any other use of the Site.
This limitation applies regardless of the legal theory (e.g., contract, tort, or strict liability) and even if the Foundation has been advised of the possibility of damages.
General Provisions
These Terms of Use are governed by the laws of Singapore. If any provision is found invalid or unenforceable in a particular jurisdiction, it will be adjusted to the minimum extent necessary to remain valid. Such adjustments apply only to the specific provision and jurisdiction, leaving the remainder of the Terms unaffected.
